Announcement of capital reduction.

Announcement of the resolution to reduce capital stock adopted at the General and Universal Shareholders’ Meeting for the redemption of 2,300 shares. For the purposes of the provisions of Article 319 of the Capital Companies Act and 170 of the Mercantile Registry Regulations, it is hereby made public that the General Shareholders’ Meeting of MADERAS Y CHAPAS BLANQUER S.A., Held on July 25, 2023 agreed, after a duly justified written report from the Board of Directors, to reduce the share capital by the amount of SIXTY-NINE THOUSAND ONE HUNDRED AND FIFTEEN EUROS (69,115.00 €), in order to return contributions to one of the members corresponding to 2,300 shares numbered from 1 to 600, 1,801 to 2,680 and 8,481 to 9200, all of them inclusive, of 30.05 euros par value each, through the amortization of said shares. This resolution is adopted to attend to the right of separation exercised by the aforementioned member due to the lack of distribution of dividends referred to in Article 348 Bis of the Capital Companies Act, this capital reduction is carried out entirely by amortization of the shares, for their reduced nominal value, ceasing the condition of partner of Mrs. Trinidad Blanquer Calatayud and remaining the rest of the partners. As a result of the resolution, the capital stock is reduced by 2,300 shares, all of them with a par value of SIXTY-NINE THOUSAND ONE HUNDRED AND FIFTEEN EUROS (69,115 €). The capital stock of the company after the capital reduction is set at TWO HUNDRED SEVEN THOUSAND THREE HUNDRED FORTY-FIVE EUROS (207,345 €) represented by 6,900 shares, with a par value of 30.05 € each share. Pursuant to Articles 334 and 336 of the Capital Companies Law, during a period of one month from the date of the last publication of the capital reduction announcement, the Company’s creditors may oppose the reduction under the terms set forth in said articles. The resolution to reduce the share capital implies the modification of Article Five of the Bylaws regarding the new share capital of MADERAS Y CHAPAS BLANQUER S.A. January 30, 2025.
